About these terms
These terms are an agreement between you and Revv Invest (“Revv”, “we”, “us”). They apply whenever you use our website or app. By using them, you agree to these terms. If you do not agree, please do not use the service.
Please read them with our Privacy Policy and the Docs, which explain how the product works and the risks involved.
What Revv is
Revv lets you deposit tokenized stocks as collateral and borrow USDC against them. The service is currently a pilot, and it works differently from how it will work at launch. Please read this section carefully.
- During the pilot, we hold your collateral. Stocks you deposit are transferred to a wallet controlled by Revv and stay there until you withdraw them. We never have access to your own wallet or its keys.
- Draws are paid from our funds. USDC you draw is sent to your wallet from Revv’s own balance. We do not sell, lend or otherwise use the stocks you deposit, except to liquidate a line as described under Borrowing and liquidation. Draws are limited by your line and by the funds available.
- We are not a bank, a broker or an adviser. We do not give investment, legal or tax advice.
- Transactions are final. Once a transaction is confirmed on the blockchain it cannot be reversed or cancelled.
- Use amounts you can afford to have tied up. A pilot is a test. Software can fail, and a wallet that holds funds can be compromised.
Who can use it
You may use Revv only if all of the following are true:
- you are at least 18 years old and able to enter into a binding agreement,
- using the service is lawful where you live,
- you are not subject to sanctions and are not located in a sanctioned country or territory,
- you are using the service for yourself and not on behalf of someone who could not use it directly.
It is your responsibility to know and follow the laws that apply to you, including any tax you owe. We may restrict access in places where we are not able to offer the service.
Your wallet
You connect to Revv with a wallet that you control. You are responsible for keeping your wallet, your device and your seed phrase safe, and for everything that is done with them.
We have no access to your wallet. If you lose your keys or your seed phrase, we cannot recover what is in it. Collateral you have deposited is recorded against your account, and withdrawals are sent to a wallet linked to that account.
Borrowing and liquidation
When you draw USDC, you are borrowing against the stocks you deposited. By drawing, you accept that:
- the amount you can borrow depends on the live value of your collateral and can shrink if prices fall,
- you can only withdraw collateral while what remains still covers what you have drawn,
- if the value of your collateral falls to the liquidation level, some or all of it may be sold to repay what you owe, and you may receive back less than you deposited,
- interest is not charged during the pilot, and will apply at a variable rate once the pilot ends, with notice,
- you are responsible for monitoring your own line and acting in time.
The Docs describe how these figures are calculated. Read them before you draw.
Tokenized stocks
The tokenized stocks accepted as collateral are created and issued by third parties, not by Revv. Each issuer sets its own terms, including who may hold its tokens and how they can be redeemed.
A tokenized stock is not the same as holding a share directly. Its value depends on the issuer continuing to back it. We do not guarantee any token, its price or the conduct of any issuer, and we may add or remove supported stocks at any time.
The card
The Revv card is offered by application and is provided together with a card issuer. Applying does not guarantee that a card will be issued.
If a card is issued to you, the issuer’s own cardholder terms will apply in addition to these terms, and the issuer may require you to verify your identity. Spending on the card draws from your line and is borrowing in the same way as a draw to your wallet.
Prices and estimates
The app displays market prices, charts and calculators to help you understand your position. These are provided for information only. Prices can be delayed or inaccurate, and calculator results are estimates based on the price at that moment.
The figures that actually apply to your line are the ones calculated by our systems when your request is processed.
What you must not do
- Use the service for anything unlawful, including money laundering, fraud or evading sanctions.
- Interfere with the service, attempt to gain unauthorised access, or probe it for weaknesses without our written permission.
- Manipulate prices or exploit errors in the protocol or the interface.
- Use automated means to place an unreasonable load on the service.
- Misrepresent who you are or where you are located.
We may suspend or restrict access to the interface if we believe these terms have been broken.
No advice
Nothing on this site is financial, investment, legal or tax advice, or a recommendation to buy, sell, hold or borrow against any asset. You alone are responsible for your decisions. Consider speaking to an independent adviser before borrowing.
Availability and changes
We work to keep the service available, but we do not promise that it will be uninterrupted or free of errors. We may change, suspend or stop any part of it, including supported stocks, terms and features. Blockchains and third party services that we rely on can fail or become congested, and that is outside our control.
Disclaimers
The service is provided as it is and as it is available. To the fullest extent the law allows, we give no warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. You use the service at your own risk.
Limits on our liability
To the fullest extent the law allows, we are not liable for:
- losses caused by market movements, liquidation, or changes in interest rates,
- losses caused by the failure or conduct of a token issuer, card issuer, blockchain, wallet or other third party,
- losses caused by software flaws or by attacks on the service, to the extent the law allows us to exclude them,
- loss of your keys or unauthorised access to your wallet,
- indirect or consequential losses, or loss of profit, data or opportunity.
Nothing in these terms limits liability that cannot be limited by law.
Changes to these terms
We may update these terms from time to time. When we do, we will change the date at the top of this page. If you keep using the service after a change takes effect, you accept the updated terms.
